DEFINITIONS
For the purposes of this Agreement, the following definitions apply:
Agreement means the legally binding agreement between Storyflow and Client consisting of these Master Terms and Conditions, the applicable Service Addendum, and the Scope of Work.
Storyflow means Storyflow V.O.F., a general partnership (vennootschap onder firma) organised under the laws of the Netherlands.
Client means the legal entity identified in the applicable Scope of Work.
Services means the strategic, creative, advisory, operational, coordination, and related services provided by Storyflow as defined in the Scope of Work and applicable Service Addendum.
Scope of Work (SOW) means the document defining the Services, Deliverables, Fees, and Term of engagement.
Service Addendum means the Sprint Service Addendum or Co Pilot Service Addendum.
Deliverables means the final commissioned outputs specifically created for Client under the Scope of Work, including but not limited to edited video content, creative assets, and final production materials intended for Client use.
Production Assets means any raw footage, drafts, project files, working files, unused materials, or intermediate production materials created during execution of the Services.
Background Intellectual Property means all proprietary methodologies, frameworks, strategies, systems, processes, concepts, templates, and operational models developed or owned by Storyflow independently of the Agreement.
Third Party Platforms means digital platforms including but not limited to TikTok, Instagram, YouTube, Meta platforms, and other social or distribution platforms.
Third Party Contractors means independent creators, editors, consultants, videographers, and other external parties engaged in connection with the Services.
Fees means the amounts payable by Client as defined in the Scope of Work.
Term means the duration of the engagement defined in the Scope of Work.
Confidential Information means all non public business, technical, or commercial information disclosed in connection with this Agreement.

Scope of Work (SOW) means the document defining the Services, Deliverables, Fees, and Term of engagement.
Service Addendum means the Sprint Service Addendum or Co Pilot Service Addendum.
Deliverables means the final commissioned outputs specifically created for Client under the Scope of Work, including but not limited to edited video content, creative assets, and final production materials intended for Client use.
Production Assets means any raw footage, drafts, project files, working files, unused materials, or intermediate production materials created during execution of the Services.
Background Intellectual Property means all proprietary methodologies, frameworks, strategies, systems, processes, concepts, templates, and operational models developed or owned by Storyflow independently of the Agreement.

INDEPENDENT CONTRACTOR STATUS
3.1 Storyflow operates exclusively as an independent contractor.
3.2 Nothing in this Agreement creates:
an employment relationship
a joint venture
a partnership between Client and Storyflow
an agency relationship granting authority to bind either party
3.3 This Agreement is intended to comply with the Dutch Deregulation of Assessment of Employment Relationships Act (Wet DBA).
3.4 Storyflow retains full autonomy over the manner, methods, personnel, and execution of the Services.
3.5 Storyflow may engage Third Party Contractors. Such contractors operate independently and shall not be considered employees of Client.
3.6 Client shall have no authority over employment classification, supervision, or payment of Storyflow personnel or contractors.
3.1 Storyflow operates exclusively as an independent contractor.

CLIENT LEGAL STATUS AND COMPLIANCE
4.1 Client represents and warrants that it:
is a legally registered business entity
operates in compliance with applicable local and international laws
has full authority to enter into this Agreement
4.2 Client remains solely responsible for compliance with all laws applicable to its business operations, accounts, and content.
4.3 Storyflow shall not be liable for legal violations arising from Client’s business operations or legal status.
4.4 Client represents and warrants that it owns or has secured all necessary rights, licenses, permissions, and legal authority to use and provide all Client Materials to Storyflow.
4.5 Client shall be solely responsible for ensuring that Client Materials and any instructions provided to Storyflow do not infringe upon intellectual property rights, privacy rights, publicity rights, or other legal protections of third parties.
4.1 Client represents and warrants that it:
is a legally registered business entity
operates in compliance with applicable local and international laws
has full authority to enter into this Agreement
4.2 Client remains solely responsible for compliance with all laws applicable to its business operations, accounts, and content.
4.3 Storyflow shall not be liable for legal violations arising from Client’s business operations or legal status.
4.4 Client represents and warrants that it owns or has secured all necessary rights, licenses, permissions, and legal authority to use and provide all Client Materials to Storyflow.
4.5 Client shall be solely responsible for ensuring that Client Materials and any instructions provided to Storyflow do not infringe upon intellectual property rights, privacy rights, publicity rights, or other legal protections of third parties.
PAYMENT TERMS
5.1 Client shall pay all Fees as defined in the Scope of Work.
5.2 Unless otherwise specified, invoices are payable within fourteen (14) calendar days.
5.3 Storyflow’s base operating currency is Euro (EUR).
5.4 Where payment is agreed in another currency, conversion shall be based on the exchange rate published by the European Central Bank on the invoice date.
5.5 Client may not withhold payment except in case of material breach by Storyflow that remains uncured after written notice and reasonable cure period.
5.6 All Fees are exclusive of VAT and applicable taxes.
5.1 Client shall pay all Fees as defined in the Scope of Work.

6.1 Any overdue amount shall accrue interest at 1.5 percent per month or the maximum permitted by law.
6.2 Client shall reimburse Storyflow for all reasonable costs incurred in collection, including legal fees.
6.3 Storyflow reserves the right to suspend Services in case of late payment.
6.4 Ownership and license rights to Deliverables transfer only after full payment.
6.5 Use of Deliverables prior to full payment constitutes unauthorised use and may result in enforcement.
6.6 Client shall notify Storyflow promptly if payment delays are anticipated.

7.1 Storyflow retains full ownership and control over its Background Intellectual Property, including production methodologies, creative approaches, systems, and workflows, regardless of whether such elements are used in Deliverables.
7.2 Upon full payment, Client will be granted unlimited, worldwide, perpetual usage rights for commercial and internal business purposes.
7.3 Production Assets, including raw footage, project files, drafts, and unused materials, remain the exclusive property of Storyflow unless explicitly agreed otherwise in writing.
7.4 Client may not resell or commercially redistribute Deliverables as standalone products without prior written consent.
7.5 Storyflow retains the irrevocable right to use Deliverables for portfolio, marketing, and case study purposes.
7.6 Storyflow retains the right to reuse non-client-specific production techniques, creative concepts, and operational methodologies developed during execution of the Services.
7.7 Following allowance of usage rights in accordance with Section 7.2, Client may modify Deliverables at its own discretion, however, Storyflow shall not be liable for claims, damages, losses, or legal consequences arising from any modifications, alterations, adaptations, or derivative use of Deliverables made by Client or third parties after delivery.

LIMITATION OF LIABILITY
8.1 Storyflow’s total aggregate liability shall not exceed the Fees paid by Client during the six (6) months preceding the claim.
8.2 Storyflow shall not be liable for:
lost profits
lost revenue
business interruption
loss of goodwill
indirect damages
consequential damages
8.3 This limitation does not apply in cases of wilful misconduct or gross negligence.
8.4 Storyflow shall not be liable for claims arising from:
use of Deliverables outside their intended context
modifications made by Client or third parties
combination of Deliverables with other materials not created by Storyflow
use of Deliverables in paid advertising, broadcast, or other extended commercial applications unless explicitly agreed in writing
8.5 Storyflow shall not be liable for third party claims arising from Client Materials or Client instructions.
8.6 Deliverables are produced for the purposes and platforms defined in the Scope of Work. Storyflow shall not be liable for claims, damages, or losses arising from the use, distribution, or exploitation of Deliverables outside their originally intended purpose, context, or platform, including but not limited to use in paid advertising, broadcast media, television, or other extended commercial applications, unless explicitly agreed in writing.
8.1 Storyflow’s total aggregate liability shall not exceed the Fees paid by Client during the six (6) months preceding the claim.

NO GUARANTEE OF PERFORMANCE
Storyflow provides strategic, creative, operational, and advisory Services based on professional expertise.
Storyflow does not guarantee specific business outcomes, including revenue, bookings, audience growth, engagement levels, or platform performance.
Storyflow shall not be liable for commercial or business outcomes resulting from the Services.

10. CLIENT RESPONSIBILITIES
10.1 Client shall:
provide accurate and timely information
provide required access to accounts and systems
provide timely approvals and feedback
support operational execution including on site logistics
10.2 Client shall provide reasonable cooperation necessary for production, including but not limited to:
access to locations
coordination with on site personnel
timely provision of Client Materials
timely approval of Deliverables
10.3 Client retains full and sole responsibility for the final review, approval, and decision to publish, distribute, or otherwise use any Deliverables. Client acknowledges that Deliverables are produced based on Client instructions, materials, and approvals, and that Client exercises independent judgment in determining whether and how Deliverables are ultimately used.
Storyflow shall not be liable for any claims, damages, losses, or legal consequences arising from Client’s decision to publish, distribute, or otherwise use Deliverables.
10.4 Where Services involve on-site production, Client shall ensure that all filming locations under Client’s control provide a safe and lawful working environment and comply with applicable health, safety, and legal requirements.
Client shall be responsible for obtaining all necessary permissions, permits, and authorizations relating to the use of its premises, facilities, personnel, and any individuals appearing in Deliverables, unless explicitly agreed otherwise in writing.
10.5 Client acknowledges that Storyflow’s ability to perform the Services depends on Client’s timely cooperation, access, approvals, and provision of required materials.
Storyflow shall not be liable for delays, failure to perform, or additional costs resulting from delayed Client approvals, failure to provide access, failure to provide Client Materials, failure to provide production support, or other Client-caused delays.
Any resulting adjustments to timelines or scope shall not relieve Client of its payment obligations.
10.1 Client shall:

APPROVAL AND REVISION PROCESS
Unless otherwise agreed:
Client is entitled to one consolidated feedback round per Deliverable.
Failure to provide feedback or approval within five (5) business days constitutes continuation.
Additional revisions may be subject to additional Fees.

THIRD PARTY PLATFORM DISCLAIMER
12.1Client remains the legal owner and responsible party for all platform accounts.
12.2 Storyflow shall not be liable for:
account suspension
algorithm changes
platform outages
platform restrictions
12.3 Client acknowledges that Deliverables may be subject to platform specific licensing limitations, including music licensing restrictions imposed by Third Party Platforms. These are listed in the Scope Of Work Addendum.
12.1Client remains the legal owner and responsible party for all platform accounts.
12.2 Storyflow shall not be liable for:
account suspension
algorithm changes
platform outages
platform restrictions
12.3 Client acknowledges that Deliverables may be subject to platform specific licensing limitations, including music licensing restrictions imposed by Third Party Platforms. These are listed in the Scope Of Work Addendum.
THIRD PARTY CONTRACTORS
13.1 Storyflow may engage Third Party Contractors in connection with the Services.
13.2 Storyflow shall exercise reasonable care in contractor selection and coordination.
13.3 Contractors operate independently.
13.4 Liability remains limited in accordance with Section 8.

FORCE MAJEURE
In accordance with Article 6:75 of the Dutch Civil Code, Storyflow shall not be liable for failure caused by events beyond its reasonable control.

GOVERNING LAW AND JURISDICTION
This Agreement is governed exclusively by the laws of the Netherlands.
